Referral Partner Program Terms and Conditions
These Referral Partner Program Terms and Conditions (“Terms”) are entered into by and between you (“Referral Partner,” “you,” or “your”) and Sabre Hawk, LLC, a California limited liability company doing business as Detoxination Wellness Centers (“Company,” “we,” “us,” or “our”).
These Terms govern your participation in the Company’s Referral Partner Program.
By applying to participate in the Referral Partner Program, accessing referral tools, using referral links, promoting Company programs, or accepting referral commissions or bonuses, you agree to be bound by these Terms, along with the Company’s Terms of Use and Privacy Policy.
1. Program Overview
The Referral Partner Program allows approved individuals or businesses to refer qualified prospects to Company for educational programs, wellness-related services, practitioner training, Remote Detox Coaching, and related offerings.
The Referral Partner Program is not a multi-level marketing program, franchise system, employment opportunity, or investment opportunity.
There are no downlines, autoship requirements, inventory requirements, recruiting requirements, territory guarantees, or mandatory purchases.
Referral Partners are compensated only for eligible referred purchases that satisfy all requirements under these Terms.
2. Eligibility and Approval
Participation in the Referral Partner Program requires Company approval.
Applicants must:
- Be at least eighteen (18) years old;
- Submit a completed Referral Partner application;
- Provide accurate information;
- Comply with these Terms; and
- Maintain good standing with Company.
Company reserves the right to approve, reject, suspend, or terminate any application or account at its sole discretion and for any lawful reason.
Approval is not guaranteed.
Company may request additional information or documentation before approving or maintaining participation.
3. Independent Relationship
Referral Partner is an independent contractor and not an employee, agent, representative, franchisee, joint venturer, business partner, or legal representative of Company.
Nothing in these Terms creates:
- an employment relationship;
- partnership;
- agency relationship;
- fiduciary relationship;
- securities offering;
- franchise relationship; or
- authority to bind Company.
Referral Partner may not:
- make commitments on behalf of Company;
- collect payments on behalf of Company;
- negotiate contracts on behalf of Company;
- represent themselves as an employee or official spokesperson of Company; or
- make unauthorized medical, legal, financial, or business claims.
4. Qualified Referrals
A “Qualified Referral” is a prospect who:
- Is referred through an approved referral link, code, written introduction, or approved tracking method;
- Is not already an existing customer, lead, applicant, student, referral partner, sales agent, or known prospect in Company’s records;
- Has a legitimate interest in Company offerings;
- Successfully completes an eligible purchase;
- Has payment successfully processed and cleared; and
- Does not later cancel, refund, dispute, reverse, or charge back the transaction.
Company has sole discretion in determining whether a referral qualifies.
5. No Compensation for Leads Alone
Referral Partners are not compensated for leads, inquiries, clicks, consultations, applications, or prospective interest alone.
Commissions are earned only on qualifying completed purchases that satisfy all applicable conditions.
6. Referral Activities
Referral Partners may:
- introduce prospects;
- share approved marketing materials;
- recommend Company programs;
- facilitate introductions;
- provide general educational information using approved messaging; and
- support communication between Company and prospective customers.
Company may independently conduct consultations, educational discussions, enrollment conversations, payment collection, and customer follow-up.
Referral Partners are not required to close sales.
7. Commission Structure
Eligible commissions are based on qualifying paid enrollments or purchases attributed to the Referral Partner.
Current Detoxinician™ Training commission tiers are:
- Starter: 5% commission for 1–4 paid enrollments
- Builder: 7.5% commission for 5–9 paid enrollments
- Producer: 10% commission for 10–19 paid enrollments
- Elite Partner: 12.5% commission for 20+ paid enrollments
Eligible Remote Detox Coaching referral fees currently include:
- $25 per eligible session referral
- $50 per eligible package referral
Company reserves the right to modify:
- commission rates;
- tiers;
- eligible products;
- referral fees;
- qualification requirements;
- bonuses;
- payout schedules; and
- program structure
at any time in its sole discretion.
Changes apply prospectively unless otherwise required by law.
8. Closing Bonus
Referral Partners who actively assist in closing an eligible enrollment may be considered for an additional closing bonus.
Examples may include:
- personally introducing qualified prospects;
- participating in sales discussions;
- facilitating communication;
- assisting with approved non-medical educational explanations; or
- meaningfully contributing to enrollment completion.
Closing bonus eligibility and amounts are determined solely by Company.
Closing bonuses are not guaranteed.
9. Tracking and Attribution
Referral tracking may occur through:
- referral links;
- referral codes;
- dashboard systems;
- manual attribution;
- invoices;
- written introductions; or
- other approved methods.
Referral Partners are responsible for properly using assigned tracking methods.
Company may manually attribute referrals when reasonable supporting evidence exists.
If multiple parties claim the same referral, Company shall determine attribution in its sole discretion.
Company’s attribution determination shall be final.
10. Offline or Invoiced Sales
Company may manually credit qualifying offline purchases, invoices, bank transfers, checks, or alternative payment methods when referral attribution can be reasonably verified.
Offline sales remain subject to all Terms, including refund, dispute, cancellation, and payment-clearance requirements.
11. Self-Referrals and Existing Customers
Referral Partners may not earn commissions on:
- personal purchases;
- purchases made by immediate family members;
- purchases made by entities substantially controlled by Referral Partner;
- existing customers;
- prior applicants;
- known leads; or
- previously attributed prospects,
unless expressly approved in writing by Company.
Company has sole discretion in determining eligibility.
12. Refunds, Chargebacks, Disputes, and Reversals
Commissions are not payable on refunded, canceled, disputed, reversed, or charged back transactions.
If commissions have already been paid on such transactions, Company may:
- offset future commissions;
- reverse commissions;
- withhold future payouts; or
- request repayment.
Commissions associated with disputed transactions may be delayed pending final resolution.
13. Payment Plans and Installment Purchases
For purchases made through installment plans, subscription billing, financing arrangements, recurring billing, or partial payment structures, commissions are earned only on payments successfully collected and cleared by Company.
Referral Partners are paid proportionally as installment payments are received.
Referral Partners are not entitled to commissions on:
- projected contract value;
- future unpaid installments;
- anticipated recurring revenue; or
- uncollected balances.
If a customer:
- defaults,
- stops payment,
- disputes charges,
- cancels,
- requests refunds,
- experiences failed billing,
- or otherwise fails to complete future installment payments,
then no additional commissions shall be owed on unpaid amounts.
Company may delay, adjust, reverse, offset, or withhold commissions associated with delinquent or disputed installment accounts.
14. Commission Calculation
Commissions are calculated based on the actual net revenue successfully collected by Company after applicable:
- discounts;
- promotional pricing;
- coupons;
- refunds;
- credits;
- chargebacks;
- reversals; and
- payment adjustments.
Taxes, payment processing fees, financing charges, and shipping charges, if any, may be excluded from commission calculations at Company’s discretion.
15. Payments and Minimum Payout
Commissions become payable only after:
- successful payment clearance;
- expiration of applicable holding periods; and
- satisfaction of all Terms.
Current payout terms include:
- Monthly payouts on the 15th for qualifying transactions from the prior calendar month;
- A minimum payout threshold of $50; and
- A minimum seven (7) day holding period.
Transactions occurring near payout dates may roll into the following payout cycle.
Payments are currently issued through PayPal or Zelle using payment information supplied by Referral Partner.
Referral Partner is responsible for:
- maintaining valid payment information;
- any transfer fees;
- tax obligations; and
- payment account maintenance.
16. Taxes and Documentation
Referral Partners are solely responsible for all taxes, reporting obligations, and governmental filings arising from commissions or bonuses.
Company may require:
- IRS Form W-9;
- Form W-8BEN; or
- other tax documentation
before issuing payment.
Company may withhold payments pending receipt of required documentation.
17. Approved Marketing Practices
Referral Partners may promote Company programs through lawful and ethical methods including:
- personal introductions;
- websites;
- blogs;
- social media;
- webinars;
- podcasts;
- professional networking;
- email marketing; and
- approved advertising.
All marketing must remain accurate, professional, and consistent with approved messaging.
18. Prohibited Marketing Practices
Referral Partners may not:
- make false or misleading claims;
- make unauthorized medical claims;
- guarantee health outcomes;
- guarantee business success or earnings;
- represent Company as an MLM or franchise opportunity;
- engage in spam or deceptive marketing;
- use fraudulent traffic methods;
- engage in cookie stuffing;
- use fake reviews or fake accounts;
- bid on Company trademarks without permission;
- misuse Company intellectual property;
- offer unauthorized discounts or rebates;
- violate advertising laws;
- violate CAN-SPAM laws;
- violate telemarketing laws; or
- engage in unlawful, unethical, or deceptive conduct.
Company may immediately terminate participation for violations.
19. Health, Medical, and Earnings Claims
Referral Partners may not claim or imply that Company programs:
- diagnose disease;
- treat disease;
- cure disease;
- prevent disease; or
- guarantee health improvements.
Referral Partners may not guarantee:
- income;
- clients;
- employment;
- certification recognition;
- business success;
- licensure; or
- financial outcomes.
Individual results vary and depend on many factors including effort, communication skills, market conditions, experience, business practices, and external circumstances.
20. Intellectual Property
All Company intellectual property remains exclusively owned by Company, including:
- trademarks;
- logos;
- videos;
- graphics;
- educational materials;
- downloads;
- branding;
- written content; and
- training materials.
Referral Partners may use approved promotional materials solely for authorized promotional purposes.
No ownership rights are transferred.
21. Confidentiality
Referral Partners may receive confidential or proprietary information relating to:
- pricing;
- leads;
- customers;
- systems;
- strategies;
- operations;
- dashboards; or
- business information.
Referral Partners agree not to disclose confidential information except as authorized or legally required.
22. Suspension and Termination
Company may suspend or terminate participation at any time, with or without cause.
Reasons may include:
- policy violations;
- misconduct;
- misleading claims;
- inactivity;
- fraud;
- reputational harm;
- unlawful conduct; or
- violation of these Terms.
Upon termination, Referral Partner must immediately cease use of:
- referral links;
- branding;
- marketing materials;
- dashboards; and
- promotional claims.
Company may withhold unpaid commissions associated with misconduct, fraud, or violations.
23. Non-Disparagement
Referral Partners agree not to knowingly publish false, malicious, or intentionally misleading statements about Company, its owners, employees, contractors, customers, or programs.
Nothing herein restricts lawful speech or truthful statements.
24. Assumption of Risk
Referral Partners assume all risk associated with their own promotional activities, advertising, communications, compliance obligations, and business operations.
Referral Partners are responsible for complying with all applicable laws and platform policies.
25. Indemnification
Referral Partner agrees to indemnify, defend, and hold harmless Company and its owners, officers, employees, contractors, affiliates, successors, and assigns from any claims, damages, liabilities, costs, or expenses arising from:
- Referral Partner conduct;
- violations of law;
- unauthorized claims;
- breach of these Terms;
- intellectual property violations;
- misleading marketing; or
- misconduct.
26. Limitation of Liability
To the fullest extent permitted by law, Company shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages.
Company’s total liability shall not exceed the total commissions actually paid to Referral Partner during the twelve (12) months preceding the claim.
27. Governing Law and Venue
These Terms are governed by California law.
Any dispute arising from these Terms shall be resolved exclusively in Sacramento County, California, unless otherwise agreed in writing.
Company may seek injunctive or equitable relief in any court of competent jurisdiction to protect confidential information, intellectual property, or business interests.
28. Changes to Terms
Company may modify these Terms at any time.
Updated Terms become effective upon posting or notification.
Continued participation after changes constitutes acceptance of revised Terms.
29. Entire Agreement
These Terms, together with Company’s Terms of Use, Privacy Policy, and any approved written commission schedules, constitute the entire agreement between the parties regarding the Referral Partner Program.
If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
